MiFID II Dodd Frank Global Regulations - On-site Course
Following the 2008 Credit Crisis, the US Congress passed the Dodd-Frank Act, the European Parliament and Council adopted EMIR and the European Commission adopted formal proposals for MiFID II. Because the markets they propose to regulate are global, Dodd-Frank, EMIR and MiFID II contain expressly extraterritorial provisions. At the same time, as underscored by the G20 commitment, the global Credit Crisis calls for a coordinated regulatory response. As such, the success of the EU and US in deploying a coordinated and effective regulatory regime spanning multiple jurisdictions hinges upon their resolving the resulting policy tensions.
This course is intended to provide attendees with a framework for understanding and assessing this crucial process. We will begin by considering the EU, what it is and how it works, with an analysis of MiFID I, EMIR and MiFID II and the transformation of EU market structure and regulation. In the US, we will focus on the issue of extraterritoriality in US securities regulatory law then consider its treatment within the SEC and the CFTC. Finally, we will analyze in detail specific provisions of MiFID II, EMIR and Dodd-Frank, including the Volcker Rule, in which extraterritoriality has become a central issue.The focus of our analysis will be on the regulation of the global derivatives markets, the crucible of the global regulatory project. However, detailed knowledge of derivatives and the derivatives markets is not required for this course.
